Portland cement is a complex mix of many compounds, some of which play a major part in the hydration or chemical characteristics of the cement. It is manufactured commercially by heating together a mixture of limestone and clay up to a temperature of 1300 to 1500°C. Although twenty to thirty percent of the mix becomes molten during the process the majority of the reactions which take place are solid-state in nature and therefore liable to be slow. Once cooled, the resulting clinker is ground to a fine powder and a small amount of gypsum (calcium sulphate dihydrate) is added to slow down the rate at which the cement hydrates to a workable level. The work of early investigators using optical and X-ray techniques, starting in 1882 with Le Chatelier, has shown that most Portland cement clinkers contain four principal compounds. These are tricalcium silicate (3CaO.SiO2), aluminate (3CaO.Al2O3) and a ferrite phase from the (2CaO.Fe2O3 - 6CaO.2Al2O3.Fe2O3) solid solution series that at one time was considered to have the fixed composition (4CaO.Al2O3.Fe2O3). These phases were named alite, belite, celite and felite respectively by Tornebohm in 1897. At Adem's Group we supply cement worldwide at very competitive prices and deliver CIF only. For more information please e. mail info@ademguven.org ARTICLE 7 – PAYMENT TERMS 7.1.1 In order to both secure the shipments and to secure the price of USD XXXX per mt for XXXXXX months and to make payment monthly by T/T or MT103/23 or DLC Payment shall be made by the Buyer to the seller or his nominee, at the seller’s or his nominee’s sole discretion, upfront unconditional SBLC for 3 months value by an Irrevocable Transferable, Assignable, Divisible ,Unencumbered, unconditional, Fully Funded stand by letter of credit (SBLC) issued by an A rated Bank, operative for 14 months to the value of 3 months of shipment . This SBLC will be transferred by way of MT760 to the seller’s nominated bank account. The face value of the SBLC will be USD ($ XXXX,00,000.00 XXXX hundred XXXXX million USD. .This SBLC will be left in the sellers’s bank until the end of the sixty months contract. This SBLC may not be used at any time in lieu of regular monthly payments by TT or swift MT 103/23 or DLC during the life of the contract, except as payment for the last six monthly shipments of the contract . 7.1.2 The buyer will further also make payment to the seller by issuing a Irrevocable ,Transferable, Divisible ,Assignable, Auto-Revolving Documentary Letter of Credit to the value of one months shipments, confirmed for each port of destination .this ARDLC is based on the agreed delivery schedule between the buyer and the seller or any of their agreed custodians .The ARDLC will be transferred by way conforming with UCP 600 Latest revision. The face value of the ARDLC or T/T or MT 103/23 for monthly shipments total amount XX,000,000 MT shall be USD($XX,000,000.00)XXXX millions USD. RDLC value for USD $XXXX,000,000.00 or divided Irrevocable , Auto- Revolving, Transferable, Letter of Credit to the value of one month’s shipment, confirmable, for each port of destination, of which the total tranche issue will not exceed 8 Letter of Credits. This is based on the agreed delivery schedule between the buyer and the seller or any of their agreed custodians. The LC will be transferred by way conforming with UCP 600 Latest revision. Total value for 12 months delivery USD$( X,XX0,000,000.00) XXX billion XXXX hundred twenty million USD. 7.1.3 The letter of credit shall cover the full amount in US dollars for the contracted net quantity of OPC 42.5 R/N delivered as ascertained by the nominated independent surveyor company on board of the loaded vessel at the loading seaport. 7.2 Format of the DL/C shall conform to the UCP 600 latest revision. 7.3 The Seller and the Buyer will bear their own banking costs. 7.4 The Seller will negotiate his due credit against the net loaded quantity upon presentation at counters of Buyer’s designated bank of the following Credit Documents: 7.4.1 Full set of 3 original plus 3 Not-Negotiable copies of Ocean Bill of Lading (B/L) made out "Clean on Board", marked "Freight Paid" or "Paid as per Charter Party". The B/L to be signed in original 7.4.2 By the ship's Master issued to the order of "bank endorsed", showing destination, identification of the loaded cargo with quantity expressed in metric tons. 7.4.3 Signed commercial invoice, based on the delivered quantity/quality as determined by Articles 4 and 6 of this contract (3 Original + 3 copies). 7.4.4 Original of SGS Q&Q certificates (one original plus 3 copies) as issued at the loading seaport based on the figures obtained on the vessel after loaded completion. 7.4.5 One set (1 original plus 3 copies) of the inspection report as issued by SGS including the following documents countersigned by the involved Parties or their representatives: 7.6.4.1 Signed Commercial Invoice 3 original plus 3 copies. 7.6.4.2 3 Original Bill of Lading, plus 3 N/N copies. 7.6.4.3 Certificate of Quality-original plus 3 copies. 7.6.4.4 Certificate of Quantity-original plus 3 copies. 7.6.4.5 Certificate of origin. 7.6.4.6 Certificate of Ownership. 7.6.4.7 Signed Packing List 3 original plus 3 copies. 7.6.4.8 Charter Party Agreement copy 7.6.4.9 Lloyd’s register certification copy 7.6.5 Title to and ownership of the shipment of goods shall not pass from Seller to Buyer until Buyer has paid in full the purchase price to Seller. 7.6.6. Phytosanitary Certificate, one original and four (4) copies certificate of fumigation issued by the government authority in the country of origin 7.6.7 Non-radioactive Certificate, one original, and four (4) copie issued by designated authority in country of origin ARTICLE 8 – PROCEDURE
8.1 Both Seller and Buyer hereby agree that the following operation and banking procedure shall be implemented to achieve the successful performance of this agreement: 8.1.1 Seller and Buyer shall exchange sealed and signed contract. Seller will provide the draft copy of the SBLC to the Buyer for approval. On this respect both Parties agree that contract, exchanged by fax or by any other electronic document transmission (EDT), when signed by the respective empowered officers, is considered legally enforceable, full binding on both Parties and duly executed on the last transmission date. Seller forwards four (4) hard copies of original final contract signed and stamped to Buyer by DHL or similar courier. The buyer signs and returns 2 hard copies of original final contract signed and stamped to seller by DHL or similar courier. Seller reviews SBLC text and after received the 2 hard copies signed in original. 8.1.2 The Buyer’s Bank issues a Transferable, Assignable, Divisible, Unemcombared ,Unconditional Fully Funded Stand by Letter of Credit (SBLC) issued by an A rated Bank, operative for 14 months to the value of 3 months of supply. This SBLC will be transferred by way of MT760 to the sellers nominated bank account 8.1.3 Seller’s bank upon receipt of the above Buyer’s SBLC within 5 working days issues 2% (two percent) PB for the quantity monthly value to Buyer’s Bank with the irrevocable commitment to pay the said amount upon failure to deliver first shipment of cargo. Seller’s bank. 8.1.4 Give the POP bank to bank. 8.1.5 Seller, within thirty-six (36) hours from the receipt date of the bank, Letter of credit will issue the letter of appointment to SGS to perform quantity and quality inspection to the cement, in accordance to the provisions herein set forth. SGS will be instructed to confirm acceptance to parties as indicated by both the Buyer and the Seller, 8.1.6 Ship starts loading and shipment commences between 30-45 days after opening of buyer’s SBLC or as soon as practicable prior to 30 days and not exceeding 45 days. 8.1.7 Seller hereby warrants and certifies that the following original documents will be couriered by the Seller’s bank to the Buyer’s bank within three banking days after the loading completion date:
i. Signed Commercial Invoice 3 original plus 3 copies. (All invoices from companies outside the European Union) ii. Original Bill of Lading, plus 3 N/N copies. iii. Certificate of Quality-original plus 3 copies. iv. Certificate of Quantity-original plus 3 copies. v. Certificate of origin plus 3 copies vi. Certificate of Ownership plus 3 copies vii. Signed Packing List 3 original plus 3 copies viii. Charter Party Agreement 3 copies ix. Lloyd’s register certification copy plus 3 copies confirming that the age of the vessel (s) is not more than (20) twenty years x. Phytosanitary Certificate, one original and four (4) copies certificate of fumigation issued by the government authority in the country of origin xi. Non-radioactive Certificate, one original, and four (4) copies issued by designated authority in country of origin. 8.1.8 Shipment and delivery commence in good and true order in strict compliance with this Contract.
